Acceptance of Terms

Welcome to WeBuyHousesSTL.com (the “Website”), operated by We Buy Houses St. Louis, MO LLC, doing business as We Buy Houses STL (“Company,” “we,” “us,” or “our”).

These Terms and Conditions (“Terms”) govern your access to and use of our Website, including its content, property submission forms, communications, and related online services.

By accessing or using the Website, you acknowledge these Terms and agree to be bound by them to the extent permitted by applicable law. Where affirmative acceptance is required, such acceptance may be obtained through an electronic acknowledgment or other legally recognized method.

If you do not agree to these Terms, you should discontinue use of the Website.

Our Privacy Policy is incorporated by reference and describes how personal information is collected, used, stored, and disclosed.

IMPORTANT: THESE TERMS INCLUDE LIMITATIONS OF LIABILITY, INDEMNIFICATION OBLIGATIONS, AND AN ARBITRATION AGREEMENT WITH A CLASS ACTION WAIVER, SUBJECT TO APPLICABLE LAW AND THE REQUIREMENTS FOR FORMING AN ENFORCEABLE AGREEMENT.

These Terms govern Website use and do not replace or modify any separately executed real estate purchase agreement.

2

Eligibility

You must be at least 18 years old to submit a property inquiry or otherwise enter into an agreement through our Website.

By submitting information, you represent that:

  • You are at least 18 years old.
  • You have the legal capacity to provide the information submitted.
  • You are authorized to provide any information concerning another individual or property.
  • You will use the Website only for lawful purposes.

We reserve the right to decline inquiries or restrict access where we reasonably believe eligibility requirements have not been satisfied.

3

Purpose of the Website

Our Website provides information about our real estate investment services and allows property owners or authorized representatives to request information regarding a potential property sale.

The Website may provide information concerning selling a house directly to an investor, selling property in its existing condition, property valuations, potential purchase offers, and the real estate transaction process.

All Website content is provided for general informational purposes.

Nothing published on the Website constitutes a binding offer, purchase commitment, appraisal, professional valuation, or guarantee of a particular transaction outcome.

We reserve the right to modify, suspend, restrict, or discontinue any Website feature, service, or content at any time, subject to applicable law.

4

Real Estate Investment Company Disclosure

We Buy Houses STL operates as a real estate investment business.

Our business may evaluate properties for potential acquisition, renovation, resale, rental, or other lawful investment purposes.

Depending on the transaction, we may purchase property directly, participate through an affiliated entity, or enter into contractual arrangements involving an interest in real property.

We represent our own investment interests and are not acting as the property owner’s real estate agent, broker, fiduciary, or adviser unless a separate written agreement expressly establishes such a relationship.

Our business may receive financial benefits through property acquisitions, resales, contractual assignments, or other lawful investment activities.

Any applicable transaction-specific disclosures will be provided as required by law.

5

No Brokerage, Agency, or Professional Advice

Unless expressly established by a separate written agreement, use of our Website or communications with our Company does not establish an agency, fiduciary, brokerage, partnership, attorney-client, or professional advisory relationship.

We do not act as the seller’s representative merely by evaluating a property or discussing a possible purchase.

Nothing on the Website constitutes legal, financial, tax, appraisal, mortgage, or investment advice.

You are encouraged to seek independent advice from an attorney, licensed real estate professional, accountant, tax adviser, or other qualified professional before entering into a real estate transaction.

You acknowledge that our Company may have financial interests that differ from your interests as a property owner.

Nothing in this section eliminates any duty imposed by applicable law.

6

No Guarantee of Offer or Purchase

Submitting information through our Website does not obligate our Company to make an offer, purchase a property, conduct an inspection, or complete a real estate transaction.

We reserve the right to decline a potential transaction for lawful business reasons, including:

  • Property location or condition
  • Property valuation or market conditions
  • Title defects, ownership disputes, or liens
  • Financing or investment considerations
  • Inaccurate or incomplete information
  • Inspection findings
  • Legal or regulatory concerns
  • Changes in our acquisition criteria

Any preliminary estimate, price range, verbal discussion, or informal proposal is nonbinding unless incorporated into a legally enforceable written agreement.

A binding real estate purchase agreement exists only when the applicable legal requirements for contract formation have been satisfied.

No information submitted through the Website creates a right to demand a purchase offer, specific purchase price, closing date, or completed transaction.

7

Purchase Offers, Property Evaluations, and Transactions

Any potential offer may be based on information provided by a property owner, publicly available records, comparable sales, estimated repair expenses, property inspections, market conditions, transaction costs, and other factors.

Our preliminary calculations and estimates may be inaccurate or subject to change.

A direct investor purchase price may be below a property’s potential retail market value because of anticipated expenses, holding costs, repairs, investment risks, and other factors.

You are free to evaluate other selling options, obtain independent valuations, or seek competing offers.

Property owners are not obligated to accept an offer merely because they submitted information or communicated with our Company.

Any transaction may be subject to contractual contingencies, due diligence, inspection, title examination, financing arrangements, and other conditions expressly stated in the written purchase agreement.

Written purchase agreements, applicable transaction-specific disclosures, and governing law control the rights and obligations of parties to an actual real estate transaction.

These Website Terms do not supersede such agreements or disclosures.

8

Assignment of Contracts and Investment Relationships

Depending on the transaction and applicable law, our Company may work with investment partners, affiliated businesses, financing sources, or third-party purchasers.

Certain transactions may involve an assignable purchase agreement or the transfer of a contractual interest in real estate.

Where legally permitted and properly disclosed, our Company may receive compensation or profit from a contractual assignment or related investment transaction.

The possibility of assignment does not automatically create an agency relationship between the Company and the property owner.

Missouri Wholesaling Disclosure Requirements

For transactions subject to Missouri Revised Statutes Section 407.3600, including qualifying residential real estate wholesaling transactions, we will comply with applicable statutory disclosure requirements.

Where required, such disclosures must be delivered separately from the purchase contract, within the statutory timeframe, and signed as required by law.

Nothing in these Terms replaces any mandatory wholesaling disclosure, waives any statutory cancellation right, or modifies any nonwaivable protection provided to a property owner.

Any assignment or transfer remains subject to applicable law, required disclosures, and the terms of the applicable written transaction documents.

9

User Representations and Responsibilities

When submitting information through our Website, you represent and warrant, to the best of your knowledge, that the information is accurate and that you are authorized to provide it.

You agree not to knowingly:

  • Misrepresent property ownership or your authority to act.
  • Submit fabricated property information.
  • Conceal your identity for fraudulent purposes.
  • Impersonate a property owner or authorized representative.
  • Submit another person’s private information without authorization.
  • Misuse Website communication forms.
  • Use our services for unlawful or fraudulent purposes.

We may independently verify ownership, property characteristics, public records, liens, and other relevant information.

We are entitled to evaluate information submitted through the Website without assuming that it has been independently verified.

To the extent permitted by law, we are not responsible for losses caused solely by materially inaccurate, fraudulent, or unauthorized information provided by a Website user.

10

Prohibited Activities

You agree not to engage in activities that compromise the Website, its users, or our business operations.

Prohibited activities include:

  1. Unauthorized access to Website systems, accounts, servers, or databases.
  2. Introducing viruses, malware, malicious scripts, or harmful software.
  3. Attempting to bypass security features or access restrictions.
  4. Conducting unauthorized automated scraping, crawling, or data extraction.
  5. Copying or exploiting Website content for unauthorized commercial purposes.
  6. Using the Website to conduct fraudulent activities.
  7. Submitting spam, unsolicited advertising, or malicious communications.
  8. Interfering with Website functionality or availability.
  9. Misrepresenting an affiliation with our Company.
  10. Using information obtained through the Website in violation of applicable law or third-party rights.

We reserve the right to investigate suspected violations, restrict access, preserve relevant evidence, and pursue appropriate legal remedies.

12

Privacy and Use of Information

Our collection, use, retention, and disclosure of personal information are governed by our Privacy Policy and applicable law.

By submitting information through the Website, you authorize us to use that information for the legitimate purposes associated with your inquiry, subject to applicable privacy and communications requirements.

These purposes may include:

  • Evaluating the submitted property
  • Verifying ownership and property details
  • Preparing potential purchase offers
  • Responding to your inquiry
  • Coordinating potential transactions
  • Communicating with appropriate transaction participants
  • Maintaining records
  • Preventing fraud and complying with law

We may use third-party service providers to support these activities.

We do not acquire ownership of your personal information merely because you submit it through the Website.

Nothing in these Terms limits privacy rights or protections that cannot lawfully be waived.

13

Property Photographs, Documents, and User Submissions

You retain any ownership rights you hold in original photographs, documents, or other materials you submit.

By voluntarily submitting these materials, you grant our Company a nonexclusive, royalty-free, limited license to use, reproduce, store, process, and share them as reasonably necessary to evaluate your inquiry, investigate the property, communicate with authorized transaction participants, and conduct a potential transaction.

This license extends to service providers acting on our behalf for those permitted purposes.

You represent that you have the right to provide the submitted materials and authorize their use as described in these Terms.

Submission of materials does not authorize us to publicly advertise your property for sale or represent that we hold an interest in it unless separately permitted by applicable law and relevant agreements.

We may remove or decline materials that violate these Terms, third-party rights, or applicable law.

14

Third-Party Software and Services

Our Website may rely on third-party software and service providers for hosting, analytics, communications, form processing, customer relationship management, and operational support.

Third-party providers may have their own terms, policies, and security practices.

While we select and use providers for legitimate business purposes, we do not control every aspect of their independent systems or operations.

To the fullest extent permitted by law, we disclaim responsibility for third-party content, technical failures, service interruptions, or independent actions outside our reasonable control, except where liability arises from our own legally actionable conduct or duties.

We do not guarantee uninterrupted access to any external service or integration.

15

Intellectual Property Rights

All original Website content and materials owned by or licensed to our Company, including text, graphics, logos, photographs, illustrations, page designs, branding elements, and other creative materials, are protected by applicable intellectual property laws.

Except as permitted by law, you may not reproduce, republish, redistribute, modify, or commercially exploit our protected materials without appropriate authorization.

Limited personal, noncommercial viewing of publicly accessible Website content is permitted.

No use of the Website transfers intellectual property ownership or grants rights beyond those expressly stated.

We reserve all rights not expressly granted.

16

Disclaimer of Warranties

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE WEBSITE AND ITS CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED.

We disclaim implied warranties of merchantability, fitness for a particular purpose, and noninfringement to the extent such warranties may lawfully be disclaimed.

We do not warrant that:

  • The Website will always operate without interruption.
  • All Website content will be error-free or current.
  • Property estimates will reflect final market value.
  • Website information will satisfy every user’s individual circumstances.
  • Third-party services will be continuously available.
  • Technical systems will be completely free from security vulnerabilities.

Website materials should not be treated as substitutes for independent research, professional advice, or legally enforceable written agreements.

This disclaimer does not eliminate warranties, representations, or obligations that cannot lawfully be excluded.

17

Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE COMPANY AND ITS OWNERS, OFFICERS, MANAGERS, EMPLOYEES, AFFILIATES, REPRESENTATIVES, AND SERVICE PROVIDERS SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM OR RELATING TO THE USE OF THE WEBSITE.

This includes, where legally permissible, alleged lost profits, lost business opportunities, lost data, interruption of access, or economic losses arising from:

  • Website outages or technical errors
  • Reliance on nonbinding Website information
  • Unauthorized misuse of the Website by third parties
  • Inaccurate user-provided information
  • Third-party service interruptions
  • Failed or incomplete Website submissions

To the extent legally permissible, our Company’s total aggregate liability arising solely from Website access or use, excluding obligations under separately executed agreements, shall not exceed one hundred dollars ($100).

This limitation applies only to the extent an enforceable agreement has been formed and applicable law permits the limitation.

Nothing in these Terms excludes or limits liability for fraud, willful misconduct, gross negligence where such limitation is prohibited, statutory violations for which liability cannot be limited, or any other nonwaivable legal obligation.

These limitations do not modify remedies or obligations under a separately executed real estate purchase agreement or any mandatory statutory disclosure requirement.

18

Indemnification

To the fullest extent permitted by law, you agree to indemnify, defend, and hold harmless our Company, its owners, officers, managers, employees, affiliates, and authorized representatives from third-party claims, damages, liabilities, judgments, and reasonable legal expenses arising from:

  1. Your intentional misuse of the Website.
  2. Your material violation of these Terms.
  3. Fraudulent or knowingly misleading information you submit.
  4. Your unauthorized use of another person’s identity or information.
  5. Your infringement or misappropriation of third-party intellectual property or other rights.
  6. Your violation of applicable law through your use of the Website.

This obligation applies only to the extent legally enforceable and attributable to your conduct.

It does not require you to indemnify our Company for its own negligence, willful misconduct, violations of law, or other conduct for which such indemnification is prohibited.

We reserve the right to participate in the defense of a claim subject to indemnification, subject to applicable law.

19

Dispute Resolution and Informal Resolution

Before initiating formal proceedings concerning a dispute arising solely from Website use or these Terms, either party may provide written notice describing the dispute and requesting informal resolution.

The parties agree to make a good-faith effort to resolve the dispute for at least thirty (30) days after receipt of the notice, unless emergency relief is reasonably necessary or applicable law requires otherwise.

Notices to our Company may be sent to:

offers@webuyhousesstl.com

Nothing in this section prevents either party from pursuing legally required notices, emergency remedies, or remedies that cannot lawfully be delayed.

20

Binding Arbitration and Class Action Waiver

PLEASE READ THIS SECTION CAREFULLY. IT MAY AFFECT YOUR RIGHT TO BRING CERTAIN DISPUTES IN COURT.

To the extent the parties have entered into an enforceable agreement to these Terms, disputes arising solely from use of the Website or the interpretation, enforcement, or alleged breach of these Terms shall be resolved through binding individual arbitration, except as otherwise stated below.

Arbitration procedures

Arbitration shall be administered by the American Arbitration Association (AAA) under its applicable rules, including consumer arbitration rules where applicable.

The Federal Arbitration Act shall govern the interpretation and enforcement of this arbitration agreement to the extent applicable.

Unless the parties agree otherwise or applicable consumer arbitration rules require another arrangement, the arbitration location shall be St. Louis, Missouri.

Hearings may be conducted remotely or through document submissions when permitted by the applicable rules.

Arbitration fees and costs will be allocated under applicable AAA rules and governing law.

Each party remains responsible for its own legal expenses unless an arbitrator or applicable law provides otherwise.

Exceptions

Either party may pursue eligible individual claims in small claims court.

A party may seek appropriate temporary or preliminary judicial relief to protect intellectual property, prevent unauthorized system access, or preserve rights pending arbitration when permitted by applicable law.

Claims that cannot legally be subjected to arbitration are excluded.

Individual proceedings and class action waiver

To the extent legally enforceable, the parties agree to resolve covered disputes individually rather than through class, collective, consolidated, or representative proceedings.

Neither party shall seek to act as a class representative or class member in a covered arbitration.

An arbitrator shall not consolidate separate individuals’ claims or preside over class proceedings unless applicable law requires otherwise or the parties expressly agree.

If a court determines that a particular claim or remedy cannot lawfully be subjected to this waiver, the relevant portion shall be severed or addressed in court as required by law.

Jury trial waiver

For disputes validly subject to binding arbitration, the parties acknowledge that arbitration generally replaces a trial before a judge or jury.

Any separate contractual waiver of jury trial applies only where enforceable under applicable law.

Real estate contract exclusion

This arbitration section does not replace the dispute-resolution provisions of an executed real estate purchase agreement.

Any disputes concerning an actual property transaction shall be governed by the applicable written transaction documents and mandatory law.

Nothing in these Terms waives any rights or remedies arising under Missouri Revised Statutes Section 407.3600 or any other law that prohibits such waiver.

21

Governing Law and Jurisdiction

These Terms shall be governed by the laws of the State of Missouri, without regard to conflict-of-laws principles, except where applicable federal law or mandatory laws of another jurisdiction control.

Subject to the arbitration provisions above, any legal action concerning Website use that may properly be brought in court shall be filed in a court of competent jurisdiction in St. Louis County or St. Louis City, Missouri, where legally permissible.

Both parties consent to the jurisdiction of such courts for covered proceedings to the extent permitted by law.

This provision does not alter mandatory venue requirements or the jurisdiction of courts handling disputes under separately executed real estate contracts.

22

Termination and Restriction of Access

We reserve the right to suspend, restrict, or terminate Website access when reasonably necessary to:

  • Prevent fraud or misuse
  • Protect Website security
  • Enforce these Terms
  • Comply with legal obligations
  • Prevent unauthorized access or disruption
  • Protect other users or our legitimate business interests

We may discontinue public Website access or services at any time, subject to applicable law.

Termination of Website access does not eliminate rights or obligations that have already arisen under a separate enforceable agreement.

We may preserve relevant information when legally permitted or required for compliance, security, or dispute resolution.

23

Force Majeure

To the fullest extent permitted by law, our Company shall not be responsible for delays or failures in the operation of the Website caused by events beyond our reasonable control.

Such events may include natural disasters, severe weather, power outages, internet failures, cyberattacks, service provider disruptions, labor disputes, government orders, public emergencies, and other extraordinary circumstances.

This section applies to Website operations and does not automatically excuse performance obligations under a separately executed real estate purchase agreement.

Any such obligations will be governed by that agreement and applicable law.

24

No Waiver

Failure or delay by our Company to exercise or enforce any right under these Terms shall not constitute a waiver of that right or any other right.

A waiver of a contractual right shall be effective only when made in a legally enforceable manner.

No waiver under these Terms shall modify a mandatory statutory requirement.

25

Severability

If any provision of these Terms is held invalid, unlawful, or unenforceable, that provision shall be interpreted, limited, or severed to the extent legally permissible.

The remaining provisions shall continue in effect unless applicable law requires a different result.

Any severability issue concerning the arbitration or class action provisions shall be resolved consistently with applicable arbitration law.

26

Survival

Provisions that by their nature are intended to survive expiration or termination shall remain effective to the extent legally enforceable.

These may include intellectual property protections, limitations of liability, indemnification obligations, dispute-resolution provisions, and provisions governing previously submitted information.

Termination of Website access does not eliminate accrued legal rights or obligations.

27

Entire Agreement and Order of Precedence

These Terms, together with our Privacy Policy and any additional Website terms expressly accepted by a user, govern use of the Website.

They supersede prior discussions or understandings concerning Website access to the extent legally permissible.

These Terms do not constitute a real estate purchase agreement.

If these Terms conflict with an executed purchase agreement concerning a specific property transaction, the applicable transaction agreement shall control the parties’ contractual obligations concerning that transaction, subject to governing law.

Mandatory federal and state consumer protections, real estate disclosure requirements, and other nonwaivable legal obligations shall take precedence over conflicting provisions of these Terms.

28

Changes to These Terms

We reserve the right to update or modify these Terms periodically.

Changes may reflect updates to our business practices, technology, Website features, legal requirements, or operational procedures.

The revised Terms will be posted on this page with an updated effective date.

Continued use after receiving legally sufficient notice of changes may constitute acceptance where permitted by law.

If applicable law requires affirmative acceptance of material changes, we will obtain such acceptance.

Updates shall not retroactively eliminate accrued rights or materially change existing contractual obligations without legally sufficient agreement.
